
Robyn N. Davis is a member of Dunnington’s corporate group whose practice includes corporate transactions, governance, and general business law.
Ms. Davis returns to private practice after a nearly twenty-year career as senior legal counsel to Fortune 200 companies and general counsel to emerging businesses domestically and internationally. Her industry experience includes stints in consumer packaged goods retail, manufacturing, and SaaS/API technology. From a transactional perspective Ms. Davis has helped clients divest themselves of assets, bring new products and services to the marketplace and enter non-U.S. markets. A veteran of several lean legal departments, there are few legal topics affecting growing and developing businesses that Ms. Davis has not fielded. She is as comfortable negotiating technology transfer and license agreements as she is helping clients comply with their industry’s specific myriad of federal, state and SRO regulations.
Having represented buyers and sellers, retailers and consumers, Ms. Davis appreciates the perspectives of opposing stakeholders and gatekeepers. A legal operations enthusiast, she has twice implemented comprehensive contracting standard documentation and operating procedures that simultaneously improved legal department response times and resulted in cost savings.
Representative Transactions/Matters include:
- Lead transactions counsel for sale of a $100M solar energy production facility, including unwinding of New Markets Tax Credit financing arrangement involving municipal, state, and commercial lenders.
- Second-chaired and closed within two weeks of inception the $87M acquisition of private-equity client that produced advanced analytic applications for cyber-business.
- Lead counsel for multinational technology-based specialty glass manufacturer in sale of a subsidiary’s assets to a competitor, and sale and leaseback of production facility to a company executive.
- Outside GC for privately held startup proprietor of innovative, interactive and data integrating presentation platform. Organized entity and created initial set of governance and private placement documents; collaborated with founder to develop IP strategy; and drafted/negotiated agreements for the provision of technology development and other services. Company is a successful going concern four years later.
