Karl P. Kilb III is a member of Dunnington’s Corporate, Emerging Technology, Privacy and Cybersecurity, Intellectual Property and Employment practice groups. Mr. Kilb is an entrepreneurial leader and corporate lawyer with more than 30 years of business and legal experience, advising companies of all sizes – from start-ups to large international corporations – in developing, monetizing, and implementing intellectual property, including emerging technologies, multimedia content, artificial intelligence and blockchain.
Mr. Kilb has extensive experience negotiating and enforcing agreements, including enterprise sales and technology development/licensing deals. He serves as an extension of a company’s legal and compliance department, suggesting strategies, finding creative solutions, mitigating risk and resolving disputes. He advises on agreements, intellectual property, regulatory issues, strategic planning, corporate governance, mergers & acquisitions, data protection & privacy, cybersecurity, insurance policies, pre-publication review and university curricula, among other areas.
Former Bloomberg LP General Counsel
Mr. Kilb spent 22 years at Bloomberg LP, including more than 15 years as the company’s first General Counsel. There, he pioneered new forms of media, data aggregation & analytics, electronic trading and other innovations. At Bloomberg, Mr. Kilb started, built and managed a global Legal and Compliance Department that supported all aspects of Bloomberg’s worldwide businesses, including data, analytics, multimedia news and electronic trading. Based in New York, he traveled internationally to negotiate agreements with customers, including major financial institutions, data providers, software companies, manufacturers, broadcast networks, facilities and others during the company’s biggest growth years.
Mr. Kilb worked on the company’s $4.4 billion acquisition of a minority interest in Bloomberg LP from Merrill Lynch, an early investor, as well as Bloomberg LP acquisitions and integrations that included The Bureau of National Affairs from an independent company, BusinessWeek Magazine from the McGraw-Hill Companies, and New Energy Finance from its founder.
Mr. Kilb was a registered securities principal for more than twelve years, serving as a founding Compliance Officer for Bloomberg Tradebook, an electronic trading system offering agency brokerage services that is a subsidiary of Bloomberg LP. Mr. Kilb served as Risk Manager and managed the parent company’s insurance policies for many years. He also worked on aspects of Bloomberg Law, including its implementation in law schools.
Emerging Tech Expertise
Mr. Kilb has spent a lifetime immersing himself in new technologies – including artificial intelligence, blockchain and cybersecurity. He has deep experience negotiating and drafting a wide range of technology, licensing and subscription agreements, analyzing regulatory requirements and industry standards. He helps companies to develop and implement strategies and policies & procedures for intellectual property (development, protection and monetization), enterprise sales agreements, service agreements and other standardized contracts, contracting processes and corporate governance. He has advised companies on litigation, arbitration and mediation matters, particularly in relation to contractual disputes.
Mr. Kilb regularly lectures on legal, business development and entrepreneurial issues, including at the Fordham University School of Law, where he is Chairman & Founder of the Entrepreneurial Law Advisory Council and has taught Topics in Entrepreneurial Law since 2014, and at NYU, serving on the Lawyers Alumni Mentoring Program since its inception in 1997. He previously created and taught a course called New Media Law and Content Creation at NYU and has participated as a judge and mentor in entrepreneurial activities at Yale University and Babson College, among others.
Media Law
As a former journalist and long-time media lawyer, Mr. Kilb is uniquely positioned to advise the media industry on all aspects of content creation, pre-publication review, defamation, privacy, distribution, syndication and other issues. Prior to becoming a lawyer in 1995, Mr. Kilb was a broadcast journalist with CNBC, Financial News Network, 1010 WINS Radio and Bloomberg, among others, and received awards for his reporting.
Background
Mr. Kilb is a member of the board of the Fordham Law School Alumni Association and of the St. Joseph Regional High School (Montvale, New Jersey) Hall of Fame as an outstanding alumnus and benefactor. He sits on the Boards of Directors of private corporations and has been involved with several non-profit organizations.
Mr. Kilb holds a JD from the Fordham University School of Law, where he was a member of the university’s Intellectual Property Law Journal (IPLJ), publishing an article on Patent Arbitration. The IPLJ office is named for him. Mr. Kilb received a Bachelor of Arts from New York University, graduating magna cum laude. He is admitted to practice in New York State and before the U.S. Supreme Court.
