Dorcia Carrillo is a member of the Corporate, Emerging Technology, Privacy and Cybersecurity, and Investigations practice groups. Her work focuses on emerging technology, international trade, and helping organizations navigate complex transitions, structure technology transactions and streamline compliance.

Prior to joining Dunnington, Ms. Carrillo served as senior counsel at a Vista Equity portfolio company where she led negotiations on dynamic work and management solutions while guiding risk mitigation. Her practice is informed by the concept of cura personalis: cure for the whole person.

Ms. Carrillo holds a BA in Political Science from Loyola College and a JD from Quinnipiac University School of Law where she was a George Crawford Scholar. She spent one semester studying at Monash University in Melbourne and one summer with St. John’s University School of Law in Rome. She is admitted to practice in New York.

 

Technology Transactions

Ms. Carrillo leverages product knowledge and legal expertise to facilitate deal velocity. She reviews, drafts and negotiates agreements ranging from Non-Disclosure Agreements for strategic acquisitions to Master Service Agreements for critical technology infrastructure.

Representative Deals:

  • Reviewed a private equity-backed software provider’s international partnerships and customer agreements to identify risks and opportunities in preparation for the investor’s exit.
  • Negotiated a master agreement and multi-year statement of work for corporate climate action services for an insurance and financial services company’s Environmental, Social and Governance (ESG) initiative.
  • Drafted a contract playbook to streamline an application platform as a service (aPaaS) provider’s customer agreement workflow.

Data Privacy & Cybersecurity

Ms. Carrillo advises on the collection, storage and use of data in business transactions, product development, and policy and procedure development and implementation. While working in-house, she managed her organization’s insurance renewal application process and secured 5% savings on their cyber liability premium.

Investigations

Ms. Carrillo started her legal career in international trade compliance with a highly regarded defense contractor. There, she built policies and procedures for internal investigations and later performed external investigations as outside counsel and a consultant.

Representative Matters:

  • Helped implement an ombudsman program to simplify reporting.
  • Triaged incidents to significantly reduce backlog and maintain fidelity to consent agreement requirements.
